These Terms of Service ("Terms") constitute a legally binding agreement between you and Praxis Strategies ("Praxis," "we," "our," or "us") governing your access to and use of our website at praxisstrategies.com and our Tiebreaker mobile application (collectively, the "Services").
By accessing or using the Services, you confirm that you are at least 13 years of age, that you have read and understood these Terms, and that you agree to be bound by them. If you do not agree, you must discontinue use of the Services immediately.
We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date above and, where appropriate, notify you via email or in-app notice. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

The Services allow you to submit debate content, including text and voice recordings ("User Content"). You retain ownership of your User Content.
By submitting User Content, you grant Praxis Strategies a limited, non-exclusive, royalty-free, worldwide license to use, process, store, and transmit your User Content solely as necessary to provide and improve the Services, including powering AI analysis features.
You represent and warrant that you own or have the necessary rights to submit your User Content and that your User Content does not violate any third-party rights or applicable law.
We reserve the right to remove any User Content that violates these Terms or that we find objectionable, without prior notice.
The Services use artificial intelligence to analyze debate content and generate scores, fallacy detection results, and other feedback ("AI Output"). You acknowledge that:

Certain features of the Services are available only through a paid subscription. By subscribing, you agree to:
Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. We do not provide refunds for unused portions of a subscription period except as required by applicable law.
We reserve the right to change subscription prices with reasonable prior notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.
The Services and all content, features, and functionality therein — including but not limited to text, graphics, logos, software, and AI models — are owned by Praxis Strategies or its licensors and are protected by copyright, trademark, and other intellectual property laws.
Nothing in these Terms grants you any right, title, or interest in the Services or our intellectual property beyond the limited license to use the Services as described herein. You may not reproduce, distribute, or create derivative works from any portion of the Services without our prior written consent.
The Services may integrate with or contain links to third-party websites, applications, or services. We do not control these third parties and are not responsible for their content, privacy practices, or terms. Your use of any third-party service is subject to that service's own terms and policies.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.
We do not warrant that the Services will meet your specific requirements, that defects will be corrected, or that the Services are free of viruses or other harmful components.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PRAXIS STRATEGIES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PRAXIS STRATEGIES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
You agree to indemnify, defend, and hold harmless Praxis Strategies and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party right.
These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.
You waive any right to participate in a class action lawsuit or class-wide arbitration.
We may suspend or terminate your access to the Services at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Services will immediately cease. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and dispute resolution) will survive.
You may terminate your account at any time by contacting us or using the account deletion feature in the App.
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Praxis Strategies regarding the Services and supersede all prior agreements.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely.
